Abyss Terms and Conditions


Welcome to Abyss

These Terms and Conditions (Terms) govern your access to and use of the Abyss platform, including the website, mobile applications, and all related services (collectively, the Platform). By accessing or using the Platform, you agree to be bound by these Terms.


1. About Abyss

Abyss is a subscription-based, cloud-powered marketplace that provides users with access to a vast library of AI widgets (Widgets) for automating tasks. These Widgets are self-contained software components designed to perform specific functionalities by leveraging existing artificial intelligence models and machine learning algorithms from various providers. In other words, they are applications engineered through code snippets that are designed to perform tasks using specified inputs and producing specified outputs. The Platform consists of two main parts:


1.1 Widgets Store:

The store is the core component of the marketplace. Through this page, users can create and share their codes (projects), which are then layered with an interface and published on the store in the form of a widget. These user-friendly Widgets require no technical expertise and can be used by anyone with access to the internet and our platform. Users simply provide input through text, files, questionnaires, etc. and the Widget generates the desired output without requiring interaction with the underlying code.


1.2 Requests:

Abyss fosters a collaborative environment where users can request new Widgets that they need for specific tasks. You can submit a detailed description of your desired automation on a dedicated page within the Platform. If a quicker solution is needed, you can optionally set a bounty as an incentive for other users to develop the Widget. Upon completion, the Widget becomes available for everyone on the Platform, and the creator receives the bounty (if applicable).


2. Membership Levels

Abyss offers two membership levels:

  • Abyssian (Free): This is the default membership level obtained upon registration. It grants access to all core and basic features of the Platform, including:

    a) The ability to browse and search for all Widgets and Requests.

    b) The ability to create Widgets and Requests, as well as link them together.

    c) The ability to personalize the profile, avatar, and the Shop.

  • Abyssian Prime (Paid): This premium membership costs $14.99 per month and provides additional benefits, including:

    a) A starting balance of 1500 Byssium for using Widgets (refreshed every 30 days).

    b) 10% discount on all Widgets.

    c) Additional personalization.

    d) Priority access to new beat features.


3. Byssium (In-Store Credits)

Abyss utilizes an in-store credit system called Byssium. You can purchase Byssium with or

without a paid membership. These credits are used to pay for individual use (generation) of

interface-based Widgets. The cost per generation is determined by its creator.

The Byssium amount paid by a widget’s users is transferred to the widget’s creator in full. Abyss only generates revenue through the exchange of Byssium, which is split between Abyss (to maintain and improve the Platform), Stripe (transaction costs), and subsidizing Widget creators for the 10% discount offered to paid members.


4. User Generated Content (UGC)

The Platform allows users to submit requests for new Widgets and potentially create their own Widgets. You retain ownership of any intellectual property rights you have in your submissions. However, by submitting content to Abyss, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, distribute, and translate your content on the Platform and for marketing purposes. You also agree that your submissions will not violate any intellectual property rights of others. Abyss earns revenue through Byssium credit sales and by retaining over 90% of subscription revenue.


5. Acceptable Use

You agree to use the Platform responsibly and ethically. Prohibited activities include, but are not limited to:

  • Uploading or sharing content that is illegal, harmful, hateful, or discriminatory.
  • Infringing on the intellectual property rights of others, including copyrights, trademarks, and patents.
  • Disrupting the Platform or its services through activities like spamming, hacking, or introducing viruses.
  • Harassing, bullying, or threatening other users.
  • Using the Platform for any commercial purpose without prior written consent from Abyss.
  • Attempting to bypass any security measures implemented by Abyss.
  • Providing false or misleading information about yourself or others.


6. Compliance with Service Providers' Terms

You must comply with any terms and conditions of the service providers used by Abyss, such as AWS or Stripe. This includes but is not limited to adhering to usage limits, payment terms, and acceptable use policies set forth by these service providers. Failure to comply with these terms may result in the suspension or termination of your Abyss account.


7. Email Communications

We send trigger emails only, meaning we do not engage in spam emails. Our emails are

automated and triggered by user actions, such as account creation, password resets, or

notifications related to Widget requests. We respect your inbox and strive to provide relevant and timely communications tailored to your interactions with the Platform.


8. Pricing and Taxes

Our prices include taxes like VAT and GST, where applicable. Any additional fees, including

taxes that the user has to deal with depending on the jurisdiction that applies to the user, is the user's sole responsibility. We reserve the right to incorporate geographical pricing and set pricing, as well as decide eligibility for differentiated pricing among users based on factors such as location, usage patterns, or subscription tier. Additionally, we reserve the right to adjust pricing for any of our services in response to market conditions, operational costs, or changes in service offerings.


9. Refunds and Subscription Cancellation

Refunds: Refund applications can be created via support, and we will consider them, but retain full freedom whether to grant them or not. We aim to provide fair and reasonable consideration for refund requests, taking into account factors such as service usage, subscription duration, and the nature of the request. However, refunds are not guaranteed and will be granted at our discretion. Subscription Cancellation: Subscriptions can be cancelled for the NEXT billing period, not the one that you are currently in and have paid for. You have full freedom to cancel subscriptions at any time through your account settings. Please note that cancelling a subscription does not entitle you to a refund for the current billing period, as services have already been provided for that period.


10. Age Requirement

You must be of legal age to enter into a binding contract. If you are below 18, you need parental permission or an account in their name to use Abyss. Minors under the age of 18 are welcome to use Abyss with parental consent or under the supervision of a legal guardian. Parents or legal guardians are responsible for monitoring and supervising the use of Abyss by minors and are encouraged to review and agree to these Terms on behalf of the minor. Abyss reserves the right to terminate accounts found to be in violation of this age requirement or to request verification of parental consent.


11. Disclaimer

The Platform and all content provided therein, including Widgets, are provided as is and without warranties of any kind, express or implied. Abyss disclaims all warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, or non-infringement. Abyss does not guarantee the performance or effectiveness of any Widget. You acknowledge that the underlying AI models used by the Widgets may have limitations and biases, and the results generated by the Widgets may not always be accurate or complete.


12. Limitation of Liability

Abyss will not be liable for any damages arising out of or related to your use of the Platform,

including, but not limited to:

  • Direct, indirect, incidental, consequential, or punitive damages.
  • Loss of data, profits, or business opportunities.
  • Personal injury or property damage.
  • Errors, inaccuracies, or omissions in content or information provided on the Platform.
  • Problems with the functionality or performance of any Widget.
  • Third-party claims arising from your use of the Platform.


13. Term and Termination

These Terms will remain in effect for as long as you use the Platform. Abyss may terminate your access to the Platform at any time and for any reason, with or without notice. You may also terminate your account at any unused Byssium credits will be forfeited.


14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Delaware

(USA), without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms or your use of the Platform will be resolved through binding arbitration in

accordance with the rules of the American Arbitration Association (AAA). The arbitration

shall be held in Delaware and conducted in the English language. The decision of the arbitrator shall be final and binding on all parties.


15. Intellectual Property

Abyss owns all intellectual property rights associated with the Platform, including its logos,

trademarks, copyrights, and the underlying code. You are granted a limited, non-exclusive, non\u0002transferable license to access and use the Platform for your personal, non-commercial purposes. You may not copy, modify, reverse engineer, decompile, disassemble, or distribute any part of the Platform without the express written consent of Abyss.


16. Data Privacy

Abyss takes your privacy seriously. We collect certain information about you when you use the Platform, as outlined in our separate Privacy Policy. You agree to the collection and use of your data in accordance with the Privacy Policy.


17. Warranties by Users

In addition to the Acceptable Use Policy, you warrant that any content you submit to the

Platform, including Widget requests and creations, is:

  • Original: You are the sole author and copyright owner of the content or have the necessary permissions to submit it.
  • Lawful: The content does not violate any laws, regulations, or intellectual property rights of others.
  • Non-Harmful: The content will not cause harm to Abyss, its users, or any third party.


18. User Representations

You represent that you:

  • Are of legal age to enter into a binding contract.
  • Have the full right, power, and authority to enter into these Terms and use the Platform.
  • Will comply with all applicable laws and regulations while using the Platform.


19. Third-Party Services

Abyss relies on external AI models and machine learning algorithms from various providers.

Abyss is not responsible for the accuracy, performance, availability, or security of these third\u0002party services.


20. Refusal of Service

Abyss reserves the right to refuse service or access to the Platform to any user for any reason, at any time, with or without notice.


21. Modifications to the Platform

Abyss reserves the right to modify, suspend, or discontinue any aspect of the Platform, including any content, features, or functionality, at any time without prior notice.


22. Digital Millennium Copyright Act (DMCA)

If you believe that any content on the Platform infringes your copyright, you can submit a

notification of claimed copyright infringement to Abyss's designated agent. The designated

agent's contact information will be posted on the Platform.


23. Assignment

These Terms and your rights and obligations hereunder may not be assigned, subcontracted, or otherwise transferred by you without Abyss's prior written consent.


24. Updates to Terms

Abyss may update these Terms at any time by posting the revised terms on the Platform. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. It is recommended that you check the Terms periodically for any updates.


25. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be

struck and the remaining provisions shall remain in full force and effect.


26. Entire Agreement

These Terms constitute the entire agreement between you and Abyss with respect to your use of the Platform.
